SQLTreeo Compare end-user license agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you (an individual or a single legal entity, “you”) and SQLTreeo, the Netherlands, www.sqltreeo.com (“SQLTreeo”, “we”) for the SQLTreeo Compare software, consisting of the SQLTreeo Compare desktop application, the sqlcompare command line tool, related documentation and any updates SQLTreeo makes available (together the “Software”).

By installing, copying or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Definitions

“License Key” means the key issued by SQLTreeo after purchase that unlocks the paid features of the Software. “Named User” means one individual person who is authorised by you to use the Software under a License Key. “Term” means the period of use purchased for a License Key, as shown at purchase and inside the Software. “Evaluation Period” means the free 30-day trial described in section 2. “General Terms” means the SQLTreeo General Terms and Conditions published at https://www.sqltreeo.com/termsandconditions/.

2. Evaluation license

2.1 On the first start on a computer the Software begins a 30-day Evaluation Period during which every feature may be used free of charge for the purpose of evaluating the Software. 2.2 The Evaluation Period is available once per computer. Extending, resetting, copying or otherwise circumventing it is not permitted. 2.3 After the Evaluation Period the comparison features of the Software remain available free of charge. Deploying changes, generating deployment or configuration scripts and exporting reports require a License Key. 2.4 The Software is provided during the Evaluation Period and for the free features “as is”, without any support or warranty obligation.

3. License grant

3.1 Upon payment of the applicable fee SQLTreeo grants you, for the Term, a non-exclusive, non-transferable, non-sublicensable license to install and use the Software for the number of Named Users you have purchased. 3.2 Each License Key is personal to one Named User. That Named User may install and activate the Software on up to three (3) computers that are mainly used by that person. A License Key may not be shared by several people. Use of the command line tool on a build, automation or shared server requires a License Key for each such server. 3.3 You may reassign a License Key to another Named User no more than once every 30 days, for example when an employee leaves. Simultaneous use by more than one person per License Key is not allowed. 3.4 The Software is licensed, not sold. SQLTreeo and its licensors retain all rights not expressly granted in this Agreement.

4. Term, renewal and expiry

4.1 A License Key is valid for the Term. Before the Term ends the Software informs you and offers renewal. 4.2 When the Term ends and is not renewed, the paid features stop working and the Software reverts to the free features described in section 2.3. Your projects, settings and reports remain yours and are not affected. 4.3 Updates published during the Term are included in the license. The current version of this Agreement applies to each update; if an update comes with a changed Agreement, you accept the change by installing it. 4.4 SQLTreeo may deactivate a License Key that was obtained fraudulently, charged back, shared in breach of this Agreement or used to circumvent the license verification.

5. Restrictions

You may not, and may not allow others to: (a) copy the Software except for a reasonable number of backup copies; (b) distribute, sell, rent, lease, lend, sublicense or otherwise make the Software or a License Key available to third parties, or offer the Software as a service to third parties; (c) modify, translate, adapt or create derivative works of the Software; (d) reverse engineer, decompile or disassemble the Software, except to the extent that applicable law expressly permits this despite this limitation; (e) remove, hide or alter any copyright, trademark or other proprietary notice in the Software; (f) bypass, disable or tamper with the license verification, the Evaluation Period or the update mechanism; (g) use the Software in breach of applicable law or of the rights of third parties.

6. License verification and updates

6.1 The Software verifies a License Key online with the SQLTreeo license service. During verification the Software transmits the License Key, the name entered as licensee, the computer name, the Software version and the IP address of the connection. Verified keys keep working for 30 days without a connection; a key that cannot be verified for a longer period is treated as unverified until the next successful verification. 6.2 The Software checks for updates at startup and periodically while it runs, by contacting the SQLTreeo Compare release feed. Only the request needed to read the list of releases is made. Automatic update checks can be switched off in the settings of the Software. 6.3 No database contents, connection details, passwords, scripts or comparison results are ever transmitted to SQLTreeo. Connection details and projects stay on your computer; passwords you choose to save are encrypted with Windows Data Protection for your user account.

7. Your data and your responsibilities

7.1 The Software reads schema, configuration and data from the SQL Server instances you connect to, and can execute scripts that you generate and approve against those instances. You are solely responsible for the permissions you use, for reviewing every script before it is run, for making backups before deploying changes and for the consequences of changes applied to your systems. 7.2 You are responsible for complying with the license terms of Microsoft SQL Server and with any law or agreement that applies to the data you compare. 7.3 Comparison results, reports and scripts created with the Software are yours.

8. Intellectual property

The Software is protected by copyright and other intellectual property laws and treaties. All intellectual property rights in the Software, including all copies, modifications and updates, belong to SQLTreeo and its licensors. Section 6 of the General Terms applies.

9. Third-party components

The Software contains open-source components that are licensed under their own terms, which are listed in the file THIRD-PARTY-NOTICES.txt distributed with the Software and shown under Settings, About. Those terms apply to the respective components only; they do not extend to the Software as a whole.

10. Support

Support for licensed Named Users is provided during the Term through the support channels published on www.sqltreeo.com. SQLTreeo will make reasonable efforts to correct material defects that are reported and can be reproduced, but does not guarantee that every defect can or will be corrected, or when.

11. Warranty disclaimer

11.1 To the maximum extent permitted by applicable law the Software is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement. 11.2 SQLTreeo does not warrant that the Software is error-free, that it will operate without interruption, that every difference between databases or servers will be detected, or that a generated script is complete or suitable for your situation. Scripts must always be reviewed by a qualified person before they are executed.

12. Limitation of liability

12.1 To the maximum extent permitted by applicable law SQLTreeo is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, loss of profit, business interruption, or the cost of restoring systems or data, arising out of or related to the Software or this Agreement, even if SQLTreeo has been advised of the possibility of such damages. 12.2 SQLTreeo’s total liability under or in connection with this Agreement is limited to the amount you paid for the Software in the twelve (12) months preceding the event that gave rise to the claim. 12.3 Nothing in this Agreement limits liability for intent or wilful recklessness of SQLTreeo or its management, or any other liability that cannot be limited under applicable law. The liability provisions of the General Terms apply in addition to this section.

13. Termination

13.1 This Agreement is effective until it is terminated. It terminates automatically if you breach any of its terms. SQLTreeo may in that case also deactivate your License Key without refund. 13.2 On termination you must stop using the Software and delete all copies, except that the free features of the Software may continue to be used under this Agreement as long as no breach continues. 13.3 Sections 5, 7, 8, 9, 11, 12 and 15 survive termination.

14. General Terms and consumers

14.1 The General Terms apply to the purchase of a License Key and to all agreements between you and SQLTreeo. In the event of a conflict between the General Terms and this Agreement, this Agreement prevails with respect to the use of the Software. 14.2 If you are a consumer, nothing in this Agreement limits the rights you have under mandatory consumer protection law, including any statutory right of withdrawal.

15. Governing law and disputes

This Agreement is governed by the laws of the Netherlands. Disputes will be submitted to the competent court in the Netherlands as set out in the General Terms, without prejudice to mandatory rules on jurisdiction that apply to consumers.
